Effective Date: applies as of the date of payment, signed proposal, or subscription activation.

These Terms of Service (“Terms”) govern the use of the AI Receptionist service (“Service”) provided by Nikhil Designs LLC, a Florida limited liability company (“Company,” “we,” “us,” or “our”), to any client or subscriber (“Client,” “you,” or “your”). By submitting payment, activating a subscription, or otherwise engaging the Service, you agree to be bound by these Terms.

1. Services Provided

The AI Receptionist provides:

  • 24/7 AI-based phone answering
  • Multi-lingual support
  • Caller qualification based on pre-set business requirements
  • Appointment scheduling directly into your calendar based on availability
  • Unlimited call time under fair usage terms (see Section 8)

Setup includes customization of caller qualification workflows based on your input. Any additional services (e.g., CRM integrations, advertising, or marketing) require a separate agreement.

2. Payment Terms

  • Subscription Fee: $600/month unless otherwise agreed in writing.
  • Subscriptions renew automatically each month unless canceled in writing (see Section 5).
  • Payment is due upon receipt.
  • Late payments may result in service suspension, removal of access, or late fees.

3. Client Responsibilities

You agree to:

  • Provide accurate business requirements for lead qualification and appointment scheduling.
  • Ensure calendar access and availability are up to date.
  • Review and approve initial setup/configuration within five (5) business days.
  • Maintain accurate billing and contact information.
  • Remain responsive for updates and compliance requests.

4. Revisions & Scope Changes

  • Initial setup includes up to two (2) rounds of revisions.
  • Additional revisions, workflow modifications, or custom features may be billed at $200/hour unless otherwise agreed.
  • Only written approvals are enforceable.

5. Term & Cancellation

  • Service is subscription-based and billed monthly.
  • Either party may cancel with 15 days’ written notice before the next billing cycle.
  • No refunds will be issued for partial months or unused days.
  • Services and access terminate at the end of the paid billing period.
  • Data exports (call logs, booked leads) may be requested within thirty (30) days of cancellation.

6. Intellectual Property

  • Upon full payment, Clients own rights to customized call scripts, greeting recordings, and qualification logic created for their business.
  • The Company retains ownership of underlying AI workflows, models, libraries, and proprietary tools.
  • The Company may showcase anonymized use cases for portfolio or marketing purposes unless you opt out in writing.

7. Confidentiality

Both parties agree to maintain the confidentiality of sensitive information, including caller data, business processes, pricing, and strategies. This obligation survives termination.

8. Acceptable Use & Fair Usage

You agree not to:

  • Use the Service for spam, fraud, or illegal purposes.
  • Violate applicable laws (TCPA, GDPR, CAN-SPAM, CCPA, or local telemarketing laws).
  • Resell, reverse-engineer, or misuse the Service.
  • Exceed reasonable use: “Unlimited call time” means no per-minute charges within normal small business usage. Abuse (e.g., mass outbound campaigns or non-business use) may result in suspension or additional fees.

9. Performance Disclaimer

  • The AI Receptionist filters and books qualified leads based on your rules. Lead volume varies by industry, seasonality, and caller activity.
  • Spam calls may still occur despite filtering, though minimized.
  • AI outcomes may require human review. Errors or misinterpretations may occur.
  • No guarantees of ROI, revenue, or sales volume are expressed or implied.

10. Limitation of Liability

  • To the fullest extent permitted by law, our liability is limited to the subscription fees paid in the most recent two (2) months of Service.
  • We are not liable for indirect, incidental, or consequential damages, including lost sales or reputational harm.
  • Clients waive claims related to outages, third-party calendar downtime, or reliance on AI outputs.

11. Dispute Resolution

These Terms are governed by the laws of the State of Florida. All disputes will be resolved in the state or federal courts of Orange County, Florida.

12. Modifications

We may update these Terms with fifteen (15) days’ notice by email or platform notification. Continued use of the Service after notice constitutes acceptance.

13. Entire Agreement

These Terms, together with any signed proposal, statement of work, or invoice, constitute the entire agreement between the parties and supersede all prior discussions.

By submitting payment or activating the subscription, you acknowledge and agree to these Terms of Service.
